4. Pricing and Payment

5. Client Responsibilities

6. Intellectual Property

• Clients may not resell or redistribute Viable's services without permission

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business processes, technical specifications, pricing, and other sensitive information.

8. Warranties and Disclaimers

We warrant that we will perform services in a professional and workmanlike manner. However:

• Services are provided "as is" without guarantees of specific results
• We do not warrant that AI systems will be error-free or uninterrupted
• Time savings estimates are projections and actual results may vary
• We are not liable for issues arising from client systems or third-party services

9. Limitation of Liability

To the maximum extent permitted by law, Viable's total liability shall not exceed the fees paid by the client in the 12 months preceding the claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from client misuse of deliverables
• Issues caused by third-party services or systems

10. Termination

Either party may terminate an engagement as specified in the service agreement. Upon termination:

• Client pays for work completed to date
• Both parties return confidential information
• Ongoing obligations (confidentiality, IP rights) remain in effect

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of modified Terms.

12. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in King County, Washington.

13. Entire Agreement

These Terms, together with any applicable service agreement and Privacy Policy, constitute the entire agreement between you and Viable LLC regarding our services.
